01Who we are and when these terms apply
Voro.work is the digital agency of Voro Ventures Private Limited (“Voro”, “we”, “us”). “Client”, “you” and “your” mean the person or organisation engaging us. Services may include design, development, software, automation, AI integrations, IT, cloud, e-commerce operations, marketing and support.
These terms apply to new engagements where they are provided or linked before acceptance and incorporated into the agreed proposal, statement of work, work order or service agreement (“Scope”). A contract begins when an authorised person accepts the Scope in writing or by a clearly identified electronic acceptance and we confirm the booking. An advance is required where stated. Paying an invoice constitutes acceptance only where the relevant Scope and terms were supplied before payment and the invoice identifies them.
Browsing this website or submitting an enquiry does not book a service, create a payment obligation or establish a confidential advisory relationship. You must be legally capable of contracting and authorised to act for any organisation you represent.
02The agreement and its order of priority
The agreement consists of the accepted Scope, any signed master agreement or data-processing agreement, approved change orders and the version of these policies supplied at booking. A specifically negotiated, signed provision takes priority over a conflicting general provision. A signed data-processing agreement takes priority on client-data processing, subject always to applicable law.
Our Delivery Policy and Refund and Cancellation Policy form part of the service terms when incorporated. Our Privacy Policy explains our own processing of personal information. Your purchase-order boilerplate or a portal upload does not amend our agreement unless we expressly accept the relevant changes in writing.
Website examples, conversations and estimates are not promised deliverables unless included in the Scope. Future policy updates do not retrospectively change an accepted engagement without agreement or a legal requirement.
03Scope, assumptions and exclusions
The Scope should identify deliverables, quantities, platforms, integrations, responsibilities, review rounds, fees, milestones and exclusions. Work not expressly included is excluded. A page count, product count, language, location, user role or integration limit is a real limit, not an example.
Unless included, fees do not cover copywriting, photography, translation, branding, data entry, catalogue cleanup, historic data repair, legal notices, accessibility certification, formal security testing, load testing, hardware, travel, hosting, domains, licences, subscriptions, ad spend or ongoing maintenance. We will identify any of these needed for the agreed work before committing an additional charge.
Compatibility is limited to the browsers, devices, operating systems, software versions and use cases agreed in the Scope. Unless stated otherwise, a website is tested against current stable Chrome, Safari, Edge and Firefox versions at delivery; old browsers, every device model and future software changes are not included.
04Estimates, fees, taxes and expenses
Website prices are starting prices for the stated entry scope, not fixed offers for every project. A written quote is valid for 15 calendar days unless it states another period. We may correct an evident pricing or clerical error before an order is accepted. Changes after acceptance require agreement, except a tax change required by law.
Amounts are in INR unless stated otherwise. GST and other applicable taxes, approved expenses and third-party charges are additional unless expressly included. Supply accurate billing details, legal entity name, GSTIN where applicable and purchase-order requirements before invoicing. A valid statutory tax deduction must be supported by the required certificate; it is not an agreed commercial discount.
We obtain approval before purchasing a paid third-party item on your behalf. Currency conversion, renewal prices, usage charges and provider price changes are borne by the account owner at the disclosed or approved rate.
05Payment milestones and overdue accounts
Unless the Scope agrees otherwise, fixed-fee projects are paid 50% on booking, 30% at the first substantial review delivery and 20% before production launch or final handover. These are payment milestones, not automatic percentages of work earned on cancellation. Recurring services are billed monthly in advance; time-based work follows the agreed estimate, cap and billing cycle. Invoices are due within 7 calendar days unless a different due date is stated in the accepted agreement.
Raise an invoice query promptly, identify the disputed line and pay the undisputed amount by its due date. We will investigate genuine disputes. No general right to withhold unrelated invoices or set off an unagreed claim is created by these terms.
For an undisputed overdue amount, we may pause affected work or withhold unpaid final deliverables after at least 5 business days’ written notice. The schedule moves to reflect the pause and reasonable remobilisation. Where lawful and disclosed in the accepted Scope, late interest may be charged at 1% per month, calculated simply, or the lower lawful limit. Any mandatory statutory payment rights take priority.
We do not claim ownership of your pre-existing accounts, domains or data because an invoice is disputed. A pause does not authorise us to damage, disable or delete your independently owned live systems, introduce a kill switch or hold unrelated data hostage.
06Your inputs, approvals and point of contact
Appoint one authorised decision-maker and provide complete, accurate content, requirements, brand assets, permissions, access and consolidated feedback on time. You are responsible for instructions from your authorised representatives and for reconciling conflicting internal feedback.
Use secure access-sharing methods, limited permissions and multi-factor authentication where available. Do not send passwords, payment-card details, identity documents or sensitive datasets through the public enquiry form. Keep an independent copy of your original content and a verified backup of systems before authorised migration or destructive changes.
You confirm that supplied materials and instructions may lawfully be used for the project, including necessary copyright, trademark, image, publicity, customer-data and communication permissions. Identify regulated activities, data residency, accessibility, retention, security and sector-specific requirements before the Scope is agreed. Technical implementation does not replace your own legal, tax or regulatory advice.
07Change requests, revisions and extra work
Unless the Scope states otherwise, a design deliverable includes two consolidated revision rounds within the approved brief. One round means one coordinated written set of comments, not unlimited requests from different stakeholders. Correction of our failure to meet the agreed Scope does not consume a revision round.
A new concept after approval, extra screens, features, workflows, products, integrations, languages, content replacement or a change of platform is a change request. We will explain the additional fee and timing impact and obtain written approval before starting. Reopening a signed-off phase may require a revised milestone.
Calls and WhatsApp can help move work along, but a change to scope, price, timeline or legal terms must be confirmed in the agreed email or project system by authorised people. An informal suggestion or silence does not approve an extra charge.
08Review, sign-off and acceptance
The Delivery Policy sets out review and acceptance. Unless otherwise agreed, review a delivered milestone within 5 business days and describe any material mismatch with the Scope in one consolidated response. We will correct verified in-scope defects and re-submit affected work.
Written approval, instructing launch or intentionally putting the delivered work into ordinary production use can evidence acceptance of that milestone. Internal review or testing alone does not. For a business-to-business engagement, if we receive no material objection within the review period, we may send a reminder giving a further 5 business days and then treat the milestone as accepted for scheduling and milestone billing. This does not waive latent defects, agreed defect support, mandatory remedies or statutory rights. It never approves a scope increase, extra charge or production launch by silence.
09Timelines, dependencies and inactive projects
Timelines depend on agreed scope, cleared milestone payments, content, access, feedback and external approvals. A date is an estimate unless expressly identified as a binding deadline in the Scope. We will notify you of a material delay and propose a revised plan. External events do not excuse our own avoidable delay.
Where a required client input is over 10 business days late, we may pause and reassign the team after written notice. If a project remains inactive because of missing client inputs for 30 calendar days, we may issue a final notice giving at least 5 business days to respond before archiving it. Archiving does not automatically forfeit your advance or transfer ownership.
Restart dates depend on availability. Any restart fee must reflect reasonable remobilisation, be explained and be agreed before restart. If the project is closed instead, the cancellation account determines earned fees and any unearned balance.
10Ownership, source files and licences
Your pre-existing materials remain yours. Our pre-existing tools, methods, libraries, templates, generic components, know-how, internal utilities and independently developed material remain ours or their respective owners’. Third-party and open-source software, stock media, fonts, themes and plugins retain their own licence terms and renewal requirements.
For expressly identified bespoke final deliverables, ownership transfer is conditional on payment of the amounts properly due for those deliverables and completion of the agreed handover. The Scope or signed assignment must identify the work and assigned rights, territory, duration and consideration. Unless it expressly says otherwise, the intended transfer of our transferable rights in those identified bespoke deliverables is worldwide for the full remaining copyright term, with the fee as consideration, subject to mandatory author rights. This website policy is not a substitute for a signed assignment where the law requires one.
Where our retained components are embedded in a fully paid final deliverable, we grant a non-exclusive, perpetual, worldwide licence to use, copy and modify them as needed to operate and maintain that deliverable, and permit your maintenance provider to do so. This does not grant a right to sell those components as standalone products or claim exclusive ownership of them.
Editable files, custom source code, repositories, build instructions, deployment assets and data exports included in the final deliverables are handed over in the agreed format. Unused concepts, rejected drafts, internal notes, working histories and proprietary development systems are excluded unless expressly included. Any unusual source-code restriction or hosted-service dependency must be disclosed before booking. We will not use an undisclosed dependency to prevent ordinary maintenance of a paid deliverable.
11Confidentiality, subcontractors and portfolio use
Each party will use the other’s non-public business information only for the engagement and protect it with reasonable care. Disclosure is limited to people and professional advisers who need it and are bound by appropriate confidentiality duties, or where required by law. Public information, information independently developed or lawfully obtained, and previously known information are excluded.
We may use suitable employees, specialists and subcontractors while remaining responsible for the work we undertake. Access to client information will be limited to what their task requires, with appropriate contractual obligations. A signed Scope may restrict particular subcontractors or require prior approval.
We seek your written permission before using your name, logo, testimonial, project screenshots or results in our portfolio. Confidential information, non-public screens, personal information and project credentials are not portfolio material. Any NDA or agreed embargo takes priority.
12Client data, security and AI tools
For client-controlled personal data, you normally determine why it is processed and give lawful, documented instructions; we act as a service provider for the agreed work. Where required, a separate data-processing agreement should identify data types, purposes, permitted tools, security controls, subprocessors, incident cooperation, retention and deletion or return. Each party remains responsible for its own legal obligations.
We will not knowingly put your confidential information, credentials or personal datasets into a public AI tool without your documented permission and agreed safeguards. Use of external AI providers for client data must be identified in the Scope or processing agreement. Do not send such data until those arrangements are agreed. We will not use client-controlled personal data to train our own general-purpose models without separate, express permission and a lawful basis.
AI outputs can contain errors, bias or material resembling third-party works. Unless specifically agreed and tested, they must not autonomously make high-impact legal, medical, financial, hiring or safety decisions. Human review, evaluation, permitted use and responsibility for final publication are defined in the Scope. We cannot promise exclusivity or copyright protection for raw AI outputs.
No internet-connected system is risk-free. Security audits, penetration testing, continuous monitoring, disaster recovery, regulatory certification and service-level guarantees are provided only when scoped. This does not excuse a failure to take reasonable care or meet mandatory security duties.
13Boundaries for particular services
- Marketing and SEO: we agree activities and reporting, not guaranteed rankings, sales, leads, revenue, ad approval or return on spend. Auction conditions, algorithms, competitors, prices, stock and your follow-up affect results. Advertising budgets require approval and are separate from our fees.
- E-commerce operations: you remain the seller or merchant of record unless expressly agreed otherwise. Product legality, descriptions, pricing approval, inventory, tax, invoices, shipping, fulfilment, customer refunds and consumer obligations remain with you, except for tasks we expressly undertake. Platform actions, counterfeits supplied by others and account restrictions are not automatically our responsibility.
- Automation and integrations: third-party APIs, permissions, rate limits, webhooks and subscriptions can change. We test the agreed workflow; new use cases, provider changes and future breakages require maintenance or a change order. Test data, approval controls and error handling must match the risk of the task.
- IT and cloud: support hours, covered users, devices, systems, response targets, backup frequency, retention and restore testing must be written down. Monthly support does not imply 24/7 availability, unlimited onsite visits, unlimited work or a guarantee of uninterrupted service.
- Migrations and recovery: legacy data defects, unsupported software, encryption keys and third-party access may limit what can be moved or restored. The parties agree a backup and rollback plan before a material migration. Data recovery is not guaranteed unless a specific result is expressly warranted.
14Third-party accounts, renewals and interruptions
Where practical, domains, hosting, storefronts, payment gateways, analytics and ad accounts are opened in your legal name with you as owner. You are responsible for provider terms, KYC, account approvals, renewals and usage charges unless we expressly take on a defined administrative task.
We do not control provider outages, spam filtering, domain propagation, app-store review, policy enforcement or vendor discontinuation. We remain responsible for the integration and management work expressly accepted by us. A provider problem may require a revised plan; additional remediation is not charged without agreement.
A backup exists only to the extent the agreed service actually includes one. A support relationship is not an assurance that we hold a complete or current copy of your systems. Ask us to confirm the backup schedule and verify restorability where it matters.
15Defect correction and support after delivery
We will perform the agreed services with reasonable care and skill. Unless the Scope provides a different period, report reproducible defects in bespoke development within 30 calendar days after delivery of the relevant completed deliverable. We will correct verified failures to meet the agreed Scope without an additional development fee.
New functionality, a changed preference, client edits, unsupported environments, third-party updates, malware introduced outside our control and new legal requirements are not automatically defects in our work. Investigation or remediation outside the defect obligation is quoted separately. An exclusion applies only to the extent that the issue was caused by that excluded event.
The 30-day support window does not shorten a legal limitation period or remove a remedy that cannot be waived. Ongoing monitoring, updates, content edits and emergency response require a separate support arrangement.
16Unlawful instructions and misuse
You must not use our website or services for fraud, infringement, impersonation, unauthorised access, malware, unlawful surveillance, unlawful scraping, unsolicited communications or deceptive practices. We may reject an instruction, request proof of rights or pause a task if there is a reasonable legal or security concern. We will explain the concern where lawful and allow it to be addressed when practical.
We may immediately isolate access where necessary to contain an active security incident or comply with law. Any cancellation account still distinguishes completed lawful work, genuine commitments and unearned advances. A concern is not a licence for arbitrary forfeiture.
17Liability allocation and third-party claims
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential losses, lost profits, lost opportunity or loss of goodwill arising from the engagement. A loss is not excluded merely because it involves data if the law treats it as a recoverable direct loss.
Subject to the exceptions below and a specifically negotiated written provision, our aggregate contractual liability arising from an affected fixed-fee project is limited to the service fees actually paid to us for that project. For a recurring service, the limit is the fees actually paid for that affected service in the 3 months immediately before the event giving rise to the claim. Taxes and third-party pass-through spend are excluded from the fee base.
These limitations do not exclude or limit fraud, wilful misconduct, gross negligence, liability that cannot lawfully be restricted, an obligation to return an established unearned advance, or mandatory consumer or data-protection remedies. Nothing guarantees that a limitation will apply to every type of claim.
You will indemnify us against third-party claims and reasonable, evidenced defence costs to the extent caused by materials you supplied without the necessary rights, your unlawful instructions or your unauthorised use of a deliverable. This does not cover loss caused by our own breach, negligence or misconduct. We must notify you promptly, allow reasonable participation in the defence, mitigate loss and not make a settlement imposing an admission or obligation on you without your consent. Any claim about our original work will be investigated under our contractual and legal obligations.
18Suspension, termination and handover
Either party may terminate for the other’s material breach if a written notice describing it is not remedied within 10 business days, where it can be remedied. A longer technically necessary cure period may be agreed. Immediate termination may be appropriate for fraud, unlawful instructions, serious security misuse or a breach that cannot be remedied, subject to law.
Convenience cancellation and recurring-service notice are governed by the Refund and Cancellation Policy. If we discontinue an engagement without client breach, we account for work actually delivered and return unearned fees for work we will not perform, subject to applicable law.
On closure, we reconcile amounts, provide the paid deliverables and available client-data exports included in the Scope, and cooperate on an orderly transition. Additional migration, retraining or reconstruction may be quoted. We will identify a practical export window before removing client data, subject to legal retention, incident containment and provider limits. Confidentiality, accrued payment rights, intellectual-property provisions and relevant liability and dispute provisions survive termination.
19Events outside reasonable control
Neither party is responsible for delay to the extent caused by an event genuinely beyond its reasonable control, such as a natural disaster, government restriction or widespread infrastructure failure, despite reasonable mitigation. Lack of funds or an ordinary staffing problem is not automatically such an event.
The affected party must notify the other, explain the impact and take reasonable steps to resume. If the interruption lasts more than 30 calendar days, either party may end the affected work on written notice, with completed work, genuine commitments and unearned advances reconciled under the cancellation policy. Mandatory remedies remain available.
20Notices, concerns and dispute discussions
Send contractual notices, cancellation requests and complaints to hello@vorohq.com with your company, project and invoice or enquiry reference. Use email for formal notice; a phone call or social-media message alone may not reach the person authorised to act. We send notices to your nominated project or billing email. An automated bounce is not delivery.
We acknowledge complaints within 48 hours and aim to resolve them within one month, or sooner where applicable law requires. We may request information reasonably necessary to investigate and will explain a delay. A written concern may be escalated to company management at the Delhi correspondence address below.
Before ordinary court proceedings, the parties should try in good faith to resolve a contractual disagreement for up to 30 calendar days after written notice. This is not a bar to urgent relief, regulatory reporting, statutory complaints or filing within a legal limitation period. No shortened contractual time limit for bringing a legal claim is imposed.
21General provisions and company contact
Invalid or unenforceable wording is severed or limited only as the law permits; the remaining valid provisions continue. A delay in enforcing a right is not a permanent waiver. The parties are independent contractors, not partners, employer and employee, or each other’s general agents. Neither party may transfer a material contractual obligation without consent, except a lawful business succession that preserves the other party’s rights.
For these terms and all related policies, a business day means Monday to Friday excluding public holidays in Delhi; times are in Indian Standard Time. A shorter mandatory legal response period takes priority over an ordinary business-day schedule.

22Indian law and exclusive Delhi jurisdiction
Indian law governs this policy and the contractual relationship. Subject to mandatory law, the courts of competent jurisdiction situated in the National Capital Territory of Delhi, India, shall have exclusive jurisdiction over all disputes, claims and proceedings arising out of or relating to this policy, our website or our services, including their formation, interpretation, performance, breach or termination. The parties agree to exclude the jurisdiction of other courts to the extent legally permitted.
This clause selects Delhi courts that otherwise have jurisdiction; it does not create jurisdiction where none exists. It does not exclude a consumer commission, statutory authority, tribunal or other forum whose jurisdiction cannot lawfully be excluded, or prevent a person from exercising a non-waivable statutory remedy. Any separate arbitration agreement must be expressly agreed in a signed writing; these policies do not impose compulsory arbitration.
